Engagement Letter


LIMITED SCOPE OF REPRESENTATION:

Re: Preparation of Simple Wills, Durable Powers of Attorney, Living Wills, Healthcare Surrogate Designations, and revocable trusts as necessary (no tax planning)

The undersigned Clients hereby hire the Cemovich Law Firm, P.A. (the “Attorney”) to prepare the subject documents.

The terms and conditions of the agreement are as follows:

Clients understand that their legal plan does not cover any costs, such as recording fees, documentary stamp taxes, title insurance expenses (if necessary), courier, or any other costs that may arise.

This agreement will not take force, and the attorney will have no duty to the Clients, until the Attorney receives a copy of this Agreement, signed by the clients and Attorney signs this Agreement, as completed and signed by the Clients.

Original Documents; Storage. Clients will be required to store originals and copies of the aforementioned documents in a place that is safe from flood, fires and other perils. The original documents should be stored in a place that is readily accessible to your personal representative and other fiduciaries in case of incapacity or death. The Cemovich Law Firm, P.A. does not have storage facilities and cannot be responsible for keeping copies or original documents produced under this representation.

TAX DISCLOSURE AND ACKNOWLEDGMENT:

EACH CLIENT IS ADVISED TO OBTAIN INDEPENDENT AND COMPETENT TAX ADVICE PRIOR TO EXECUTING THE DOCUMENTS BEING PREPARED UNDER THIS AGREEMENT, BECAUSE THE TRANSFERS AND DIRECTIVES IN THOSE DOCUMENTS COULD GIVE RISE TO TAX CONSEQUENCES. THE CEMOVICH LAW FIRM AND ATTORNEY HAVE NOT  AGREED TO RENDER ANY TAX ADVICE AND ARE NOT RESPONSIBLE FOR ANY ADVICE REGARDING TAX MATTERS OR PREPARATION OF TAX RETURNS, OR OTHER FILINGS, INCLUDING, BUT NOT LIMITED TO, STATE AND FEDERAL INCOME AND INHERITANCE TAX RETURNS.

* Each Client understands the Attorney represents both Clients in this case. Although each Client’s respective interests are generally consistent, it is recognized and understood that differences between Clients might become evident during the course of this agreement.

Notwithstanding these possibilities, each Client has determined that it is in his or her individual and mutual interests to have a single law firm represent them under the terms of this agreement. Accordingly, by signing below, Clients confirm their understanding that the Attorney may represent the Clients jointly under this agreement. This will also confirm that each Client has agreed to waive any conflict of interest arising out of, and will not object to, the Attorney’s representation of each Client under this agreement. If Clients disagree on any issue, this firm will ask the Clients to resolve their differences between themselves, without the Attorney’s assistance. If the Clients cannot resolve their differences, the Attorney will not be able to represent any Client as to that issue. If the differences are serious enough, the Attorney may be required by applicable ethics rules to withdraw from representation completely.

It is understood and agreed that the Attorney may freely convey necessary information provided to this firm by one Client to the other, and that there will be no secrets between Clients during the course of this representation, unless both Clients expressly agree to the contrary. In other words, if the Attorney receives information from or about one Client that the Attorney believes the other should have in order to make decisions regarding the subject Clients’ representation, the Attorney will give the other Client the information.

The Client(s) may discharge the Attorney at any time for any reason. The attorney may withdraw with the Clients’ consent or for good cause. Good cause includes Clients’ breach of this agreement, Clients’ misrepresentation or failure to disclose material facts, Clients’ refusal to cooperate with Attorney or to follow Attorney’s advice on a material matter, the legal plan’s failure to pay fees and costs in a regular and timely manner, and any other fact or circumstance that would render Attorney’s continuing representation unlawful, unethical, or impractical.

LIMITED REPRESENTATION: Please note that the scope of the Law Firm’s representation does not include advice or services regarding the following: accounting, tax, financial, business management (You are advised to engage a CPA, tax attorney or business consultant to advise you regarding these matters); title searches, surveys, inspections (You are advised to engage a title insurance company, surveyor or other licensed professional to provide you these services); elder law, securities, labor, and other legal matters not handled by me (You are advised to engage a lawyer who specializes in these matters if you need such advice).

This Agreement shall automatically terminate when the first of the following occurs: (i) Client(s) discharge the Attorney; (ii) the subject documents are prepared and finalized; or (iii) six (6) months pass from the date this Agreement is signed, whichever first occurs -- unless otherwise agreed to by Attorney and Client in writing.

Any and all disputes are to be heard in a court of competent jurisdiction in the county where the subject real estate is located, and the laws of the state of Florida shall govern this Agreement.

The effective date of this Agreement is the last date appearing below.

By signing below, you agree to be bound by the terms of specified in this agreement.

A legible facsimile or electronic (including “pdf”) copy of this agreement and any signatures hereon shall be considered for all purposes as an original.

Attorney

Attorney will sign the agreement upon review and acceptance.

STEPS TO COMPLETING TERMS OF THIS AGREEMENT:

  1. Client completes and submits to Attorney the questionnaire
  2. Attorney reviews completed questionnaire and any other information provided by Client.
  3. Attorney emails or telephones Client with questions, request for clarification(s), and/or suggestions and advice by Attorney
  4. Attorney prepares and emails to client first draft of documents
  5. Client reviews first draft and emails to Attorney questions and/or suggested revisions
  6. Attorney and Client hold a telephonic conference, as necessary, to discuss any changes to documents
  7. Attorney prepares and emails to Client second draft of documents
  8. Client emails to Attorney any further revisions
  9. Attorney finalizes documents, based on two reviews.
  10. Attorney and Client meet at Attorney’s office to discuss and execute final documents, to strategize, and address 5 or 6 additional tasks Attorney will advise Client to take after document execution.
